The terms that govern your use of our website and the KeraPlan software license.

These terms govern the current free distribution of KeraPlan. We will update them as practices change, and a Canadian lawyer reviews substantive revisions. Questions are always welcome at legal@sudharitech.com.
These Terms of Service ("Terms") govern your use of the sudharitech.com website (the "Website") and any services we provide through it. The accompanying End-User License Agreement (Section 9 below) governs your use of KeraPlan and other software licensed by Sudhari Technologies Inc.
By using the Website or the Software, you agree to these Terms. If you don't agree, don't use them.
Sudhari Technologies Inc. ("Sudhari Tech," "we," "us") is a corporation incorporated under the Canada Business Corporations Act, with its head office in Toronto, Ontario.
You may browse the Website for lawful personal and commercial purposes. You may not: (a) attempt to reverse engineer the site or gain unauthorized access to systems; (b) scrape, harvest, or resell content; (c) use the Website to transmit malicious code; or (d) use the Website in violation of applicable law.
The Website and all content on it (text, graphics, logos, software, images) are owned by Sudhari Tech or its licensors and are protected by Canadian and international copyright and trademark laws. No right or license is granted to you except as expressly stated in these Terms or the EULA.
"Sudhari Technologies," "KeraPlan," and related marks are trademarks of Sudhari Technologies Inc. Other names mentioned on this site, including "Primavera" and "P6," are trademarks of their respective owners and are used here for descriptive and interoperability purposes only.
KeraPlan and our other software products are distributed free of charge. A license key is issued upon registration on this website, at no cost. There is no purchase, no subscription, no recurring fee.
Voluntary donations are accepted through third-party platforms (currently Ko-fi, Buy Me a Coffee, and PayPal) and are gratefully appreciated, but are never required to obtain or use the Software. Donations are processed by the respective platforms, not by Sudhari Tech, and are subject to those platforms' terms. Donations do not entitle the donor to any product, feature, support level, or refund that differs from what is available to non-donating users.
THE WEBSITE AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE FREE FROM DEFECTS, OR PRODUCE CORRECT RESULTS. YOU ASSUME ALL RISK ARISING FROM USE OF THE SOFTWARE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUDHARI TECH WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SOFTWARE IS PROVIDED FREE OF CHARGE, OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED CAD $50.00.
Some jurisdictions do not allow these limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the courts of Ontario, and you consent to the jurisdiction of those courts.
The following EULA governs use of the KeraPlan Software. KeraPlan is provided free of charge.
Subject to your compliance with these terms, Sudhari Tech grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use KeraPlan for personal or business work at your own risk. This license is provided free of charge and may be terminated or modified by Sudhari Tech at any time.
All right, title, and interest in and to KeraPlan, including all copyrights, trademarks, trade secrets, and other intellectual property rights, are and shall remain the exclusive property of Sudhari Tech. KeraPlan is licensed, not sold. "KeraPlan" and the KeraPlan logo are trademarks of Sudhari Technologies Inc.
You shall not, and shall not permit any third party to: (a) copy, distribute, sell, rent, lease, sublicense, or otherwise transfer KeraPlan, except as expressly permitted in Section 9.5 below; (b) modify, adapt, translate, or create derivative works based on KeraPlan; (c) decompile, disassemble, or reverse-engineer KeraPlan, except to the extent expressly permitted by applicable law; (d) remove, alter, or obscure any copyright, trademark, or other proprietary notice; (e) use KeraPlan in any manner that violates applicable law.
KeraPlan requires one-time online activation with your license key (issued free of charge upon registration) and performs periodic online license verification (approximately every 30 days) to confirm your license remains valid. No project files, user-created data, or schedule contents are transmitted during this check; only the license key and a device identifier. You may deactivate a device through the License Manager to free an activation slot.
License transfers between individuals are permitted at no charge with prior written consent from Sudhari Tech. To request a transfer, write to support@sudharitech.com. You may not sell, loan, or assign the license without our consent.
You acknowledge that KeraPlan is currently a beta release and may contain defects, errors, or incomplete features, and that schedule calculations may produce incorrect results. You agree to verify all critical scheduling, cost, and risk outputs independently before relying on them for any commercial, contractual, legal, or safety-critical purpose. If you provide feedback, suggestions, bug reports, or ideas regarding KeraPlan ("Feedback"), you grant Sudhari Tech a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and incorporate such Feedback into KeraPlan or any derivative product without obligation or compensation to you.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU EXPRESSLY ACKNOWLEDGE THAT THE SOFTWARE MAY CONTAIN BUGS, ERRORS, AND INACCURACIES, AND THAT OUTPUTS INCLUDING BUT NOT LIMITED TO SCHEDULES, CRITICAL PATH CALCULATIONS, MONTE CARLO SIMULATIONS, EARNED-VALUE METRICS, AND ANY OTHER COMPUTED RESULTS MAY BE INCORRECT. You are solely responsible for verifying the accuracy of any schedule, computation, or output produced by KeraPlan before relying on it for any decision, submission, claim, or other purpose. Construction and engineering decisions involve professional judgment that the Software cannot replace.
This license terminates automatically if you materially breach its terms. Upon termination, you must cease use of the Software and destroy all copies. The Software is provided free of charge, so termination does not entitle you to any refund or compensation.
The Software is licensed, not sold. Sudhari Tech retains all right, title, and interest in and to the Software, including all intellectual property rights.
If any provision of these Terms or the EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if no such modification is possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
These Terms, together with the End-User License Agreement set out in Section 9 and the Privacy Policy published at sudharitech.com/legal/privacy, constitute the entire agreement between you and Sudhari Tech with respect to the Website and the Software, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. No oral statement, marketing material, or website content outside of these documents creates an enforceable obligation on either party.
The failure of either party to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by the party against whom it is asserted. A waiver in one instance does not waive any subsequent breach.
We may update these Terms from time to time. Material changes will be announced on this page with a revised "Last updated" date. Continued use of the Website or Software after changes constitutes acceptance. Changes to the EULA do not apply retroactively to existing installed copies, except where required by law or for the purpose of correcting clear errors or maintaining alignment with applicable law.
